Layout and Routing Design
GNGCD shall produce a layout/routing design of the Course. To this end it shall (i) ascertain the constraints on the design of the Course with the assistance of the documentation supplied by or on behalf of the Company; (ii) ascertain the Company's requirements and produce at least two (2) different 1': 200" alternative layouts of the Course; (iii) assist the Company in deciding which of the alternative layouts the Company prefers; and (iv) prepare and submit to the Company a colored drawing of the preferred layout of the Course.
Consultants
GNGCD shall also provide the following services to the Company in respect of the below-mentioned consultants and advisers. It is understood that all cost of such consultants and advisors shall be the sole responsibility of the Company, except as specifically set forth in this Agreement.
Turf Consultant
GNGCD shall (i) nominate the Turf Consultant and shall proceed to instruct him unless advised in advance by the Company; (ii) produce a design brief for the said consultant to assist the consultant to test the relevant materials, design profiles for greens and tees, select grasses and given advice on planting, develop a maintenance concept and give general agronomic advice; (iii) communicate with the Turf Consultant during the design process (normally a project management role); and (iv) pay fees to the Turf Consultant excluding fees for sampling and testing costs for material. The Company shall have the right to approve the Turf Consultant, which approval will not be unreasonably withheld.
Field Representative
GNGCD shall appoint a construction Field Representative to be available as needed on-site during the construction period to supervise the construction implementation of the Design Services for the Project, but will also have responsibilities for other GNGCD projects. The Field Representative shall be an employee of GNGCD and GNGCD will be responsible for his salary and benefits but the Company shall provide the Field Representative with, or reimburse GNGCD for, the Field Representative's costs of housing, meals and expenses, a 4x4 vehicle or equivalent including the cost of its operation, office space with a telephone and any equipment or instruments necessary for measuring and flagging the job as required.
Irrigation Design Consultant
GNGCD will arrange for the preparation of design plans, completed drawings and specifications for the irrigation system for the Course by a third party and will cause such plans and specifications to be delivered to the Company. The Company shall have the right to approve the Irrigation Design Consultant, which approval will not be unreasonably withheld. The Company will not be charged an additional fee for such third party services but will be responsible for all travel, accommodations, meals and out-of-pocket expenses while at the site incurred and invoiced or billed by such third party in accordance with Paragraph 5.3.2 of this Agreement. The Company agrees to supply GNGCD with such information as may reasonably be required in order to permit such plans and specifications to be prepared. GNGCD shall coordinate with the Irrigation Design Consultant to have him provide to the Company (i) site visits for design interpretation and water planning; (ii) construction drawings and bid specification; and (iii) cost estimates. Field construction staking and surveying, inspections, construction management and computer start-up and programming are not included in these services. GNGCD will coordinate its design activities with those of the Irrigation Design Consultant for the Course, provided, however, that GNGCD will have no liability to the Company with respect to the services of the Irrigation Design Consultant or for the actual design and/or installation of the irrigation system or its operation.
General Contractor and Shaper
GNGCD shall have the right of approval, which shall not be unreasonably withheld, of the General Contractor and the Shaper for the construction of the Course.
Documentation
GNGCD shall produce the following to the Company (i) at least two (2) different 1": 200' (or appropriate scale) layout designs; (ii) a colored final layout design of the Course; (iii) a staking plan to show coordinates of one point at each of the tees, landing areas and greens to be used in setting out the Course; (iv) a performance specification for the design of the irrigation system setting out the objectives, constraints and criteria which the design must meet. (This will be amended by the Irrigation Design Consultant to suit construction and the particular design); (v) specifications for greens, tees and bunkers. (These will include drainage, material specification and profile design); (vi) technical specifications for grass selection, ground preparation and method of planting. (This will be descriptive.); (vii) drawings at 1": 50' showing final contours at two (2') foot intervals; (viii) drawings of each green site at 1": 20' showing final contours at one (1') foot intervals. All the specifications and drawings referred to above are essentially technical in nature and will be included by the Company as a part of its construction contract. They will require additional general conditions of contract appropriate for bid documents. Others will provide these commercial and legal requirements. The engineering drawings and the detailed landscape drawings and all survey drawings are required to be completed by other consultants and do not form part of GNGCD's services nor is GNGCD responsible in any fashion for their delivery, implementation or installation or their respective detailed specifications. GNGCD shall provide the Company or its contractor with two (2) sets of the working drawings for construction.
During Construction
During construction GNGCD has the four (4) roles of (i) site visits for Design Services interpretation; (ii) coordination of the efforts of the Field Representative who will be present on-site as needed during construction; (iii) progressive review; and (iv) general advice to assist the Company to construct the Course. During construction Norman or the Lead Designer will make visits to the Course as they deem necessary to review progress, give general assistance to the Company and ensure that implementation of the Design Services is correct.
Post Construction
During the post-construction period (including grow-in), GNGCD's role will include (i) preparation of a maintenance program in conjunction with the greens superintendents and project manager who shall be appointed and retained by the Company; (ii) provision of a list of appropriate maintenance machinery; (iii) notional layout of a maintenance machinery shed; and (iv) Review and assessment of the contractor's performance with regards to substantial completion and adherence to construction practices specified in the GNGCD project manual (punch list).
